Welcome to joeramsay.com. This website is operated by Joe Ramsay and Associates Inc. These Terms and Conditions explain how this website may be used, how our services are described, and the general terms that apply when you contact us, request a consultation, or engage us for website design, hosting, lead-generation, automation, or communications-related services.

By using this website, submitting a form, booking a consultation, or engaging Joe Ramsay and Associates Inc. for services, you agree to these Terms and Conditions.

1. About Joe Ramsay and Associates Inc.

Joe Ramsay and Associates Inc. provides website design, website hosting, lead-generation website development, customer relationship automation, and unified communications consulting for small businesses and local organizations.

Services may include standard business websites, the JR Business Generation Machine, Local Authority Lead Generation Asset websites, Problem-Solution Lead Asset websites, call tracking, form capture, customer communication workflows, appointment-related automations, and consulting related to cloud-based business communication platforms.

The exact services provided to a client depend on the specific package, proposal, agreement, subscription, or written arrangement accepted by that client.

2. Website Information Is General in Nature

The information on this website is provided for general business, marketing, educational, and informational purposes. It is intended to help small business owners understand website design, lead generation, automation, communications systems, and related business tools.

Although reasonable care is taken to provide accurate and useful information, the content on this website should not be treated as professional legal, accounting, tax, financial, or regulatory advice. You are responsible for seeking appropriate professional advice before making decisions that require specialized guidance.

3. Consultations and Service Discussions

Booking a consultation does not create a client relationship on its own. A client relationship is created only when Joe Ramsay and Associates Inc. agrees to provide services and the client accepts the applicable proposal, subscription, payment arrangement, or written agreement.

During a consultation, we may discuss your business needs, current website, lead-generation goals, communication systems, or possible service options. Any recommendations provided during a consultation are based on the information available at that time and may change once more detailed information is reviewed.

4. Service Descriptions

Joe Ramsay and Associates Inc. may describe services on this website, including but not limited to:

  • Standard Business Website and Hosting packages;

  • The JR Business Generation Machine;

  • Lead-generation websites, including Local Authority Lead Generation Assets and Problem-Solution Lead Assets;

  • Website hosting, maintenance, and updates;

  • CRM, call handling, form capture, texting, email, appointment, estimate, review request, and workflow automation systems;

  • Unified communications consulting involving phone, video, messaging, and related cloud communication tools.

Service descriptions on the website are general summaries. The specific features, deliverables, limits, fees, timelines, and responsibilities for any service will be determined by the applicable proposal, invoice, subscription, service agreement, or written communication between the client and Joe Ramsay and Associates Inc.

5. Website Design and Hosting

For website design and hosting packages, Joe Ramsay and Associates Inc. may build and host websites using third-party platforms and tools. These may include website builders, CRM platforms, domain services, hosting systems, phone and messaging tools, analytics tools, form tools, and other software services.

Unless otherwise stated in writing, clients are responsible for providing accurate business information, logos, photos, service details, branding materials, contact information, and feedback needed to complete the website.

Joe Ramsay and Associates Inc. may assist with organizing, editing, writing, sourcing, or structuring content.

However, clients are responsible for reviewing and approving website content before publication, especially where that content relates to their services, pricing, warranties, credentials, claims, service areas, regulatory obligations, or industry-specific requirements.

6. Ownership of Website Content and Platform Assets

Unless otherwise agreed in writing, the client owns the rights to business-specific content supplied by the client, including the client’s logo, business name, proprietary photos, written descriptions, service details, and other materials unique to that business.

Website templates, layouts, page structures, automation workflows, forms, CRM configurations, technical setup, scripts, system architecture, and other non-client-specific materials created or configured by Joe Ramsay and Associates Inc. remain the property of Joe Ramsay and Associates Inc. or the relevant third-party platform provider.

Where a website is hosted as part of a managed website and hosting service, the website may depend on the hosting platform, CRM system, automation tools, or other software environment used by Joe Ramsay and Associates Inc. If a client wishes to move a website, CRM setup, or related assets to another provider or platform, transfer may be possible, but a transfer fee may apply. Some features may not be transferable if they depend on a specific third-party platform.

7. Lead-Generation Websites

Joe Ramsay and Associates Inc. may create and operate lead-generation websites designed to attract calls, form submissions, quote requests, or consultation requests from people searching for information or solutions online.

Some lead-generation websites may be built before a specific client or local service provider has been selected. In other cases, a website may be built or adapted for a specific business, niche, or geographic market.

Lead-generation arrangements may involve a monthly fee, performance-based fee, referral fee, commission-like arrangement, call tracking, form tracking, exclusive lead routing, or another structure agreed to in writing.

Unless otherwise stated in a written agreement, Joe Ramsay and Associates Inc. does not guarantee a specific number of leads, calls, form submissions, booked jobs, search rankings, revenue, or closed sales. Lead volume can vary due to search engine behaviour, competition, seasonality, market demand, homeowner behaviour, advertising activity, website age, service quality, response time, and other factors outside the control of Joe Ramsay and Associates Inc.

8. Local Authority Lead Generation Asset Websites

Local Authority Lead Generation Asset websites and similar informational lead-generation websites are designed to provide educational content and connect visitors with a relevant local service provider when appropriate.

These websites are not intended to misrepresent themselves as the service provider unless that is explicitly stated and accurate. Where Joe Ramsay and Associates Inc. operates an informational website that connects visitors with an independent local business, the website should disclose that relationship in an appropriate manner.

Participating service providers are independent businesses. Joe Ramsay and Associates Inc. is not responsible for the workmanship, pricing, scheduling, warranties, insurance, licensing, conduct, safety practices, or customer service of an independent contractor or service provider unless otherwise required by law or specifically agreed in writing.

9. Unified Communications and Third-Party Platforms

Joe Ramsay and Associates Inc. may provide consulting, setup, configuration, or support related to third-party communication platforms, CRM systems, phone systems, texting tools, video meeting platforms, automation systems, domain registrars, hosting providers, and related services.

Third-party platforms are governed by their own terms, privacy policies, service limitations, pricing, usage rules, acceptable use policies, and technical conditions. Joe Ramsay and Associates Inc. is not responsible for outages, price changes, feature changes, account suspensions, deliverability issues, compliance requirements, or technical limitations imposed by third-party providers.

Where a client uses phone, SMS, email, call recording, appointment booking, CRM, or automation features, the client is responsible for complying with all applicable laws, regulations, industry rules, consent requirements, privacy obligations, and platform policies that apply to their business and communications.

10. Text Messaging, Email, and Communication Features

Some services may include or support text messaging, email messaging, missed-call text-back, appointment reminders, review requests, internal notifications, or other automated communications.

Clients are responsible for ensuring that their use of these communication tools complies with applicable consent requirements, anti-spam laws, telecommunications rules, privacy laws, platform rules, and industry standards.

Joe Ramsay and Associates Inc. may assist with setting up consent language, message templates, opt-in processes, opt-out language, or compliance-related workflows, but this assistance does not constitute legal advice. Clients should obtain legal advice where needed.

Where text messaging is used, message and data rates may apply. Recipients may generally reply STOP to opt out and HELP for assistance, where supported by the applicable messaging platform.

11. Call Tracking and Call Recording

Some services may include call tracking, call forwarding, whisper messages, call notifications, call logs, or call recording.

Where call recording is enabled, the client is responsible for ensuring that call recording is used lawfully and that appropriate notice or consent is provided where required. Joe Ramsay and Associates Inc. may assist with technical configuration but is not responsible for determining the client’s legal obligations in every jurisdiction or business context.

12. Search Engine Optimization and Results

Joe Ramsay and Associates Inc. may build websites and content intended to improve search visibility and attract relevant online traffic. This may include page structure, local content, problem-based content, service pages, technical setup, internal linking, metadata, and other search-related practices.

Search engine performance is not guaranteed. Search rankings can change at any time due to algorithm updates, competitor activity, market conditions, website history, domain authority, content quality, technical issues, user behaviour, and other factors beyond the control of Joe Ramsay and Associates Inc.

Any examples of ranking improvements, lead generation, traffic growth, or search visibility are examples only. They do not guarantee that the same result will occur for another business, website, niche, or market.

13. Client Responsibilities

Clients are responsible for providing accurate information, reviewing content, supplying required materials, responding to requests for feedback, approving work, paying invoices on time, and using any systems or platforms in a lawful and responsible manner.

Clients are also responsible for ensuring that the information published on their website is accurate, including service descriptions, prices, guarantees, professional qualifications, licensing, insurance, service areas, business hours, and legal or regulatory statements.

If a client provides inaccurate, incomplete, infringing, unlawful, or misleading content, Joe Ramsay and Associates Inc. is not responsible for any claim, loss, complaint, penalty, or dispute that results from the use of that content.

14. Fees, Payments, and Subscriptions

Fees for services are set out in the applicable proposal, invoice, subscription arrangement, checkout page, service agreement, or written communication.

Some services may be billed monthly. Others may be billed annually, upfront, by project, or under a custom arrangement. Taxes may apply where required.

Unless otherwise stated in writing, recurring services continue until cancelled in accordance with the applicable cancellation terms. Failure to pay may result in suspension or termination of hosting, website access, phone numbers, communication tools, automations, CRM access, lead routing, or other services.

Joe Ramsay and Associates Inc. may update pricing from time to time. Existing clients will be notified of material pricing changes that affect recurring services.

15. Cancellations and Termination

Cancellation terms depend on the service package or agreement. Some services may require an annual commitment. Others may be cancellable on a monthly basis.

If a client cancels a hosting, website, CRM, automation, communication, or lead-generation service, access to related systems may end when the paid service period ends. Data export, website transfer, domain transfer, CRM migration, or workflow transfer may require additional fees and may be limited by the capabilities of the third-party platforms involved.

Joe Ramsay and Associates Inc. may suspend or terminate services if a client fails to pay, violates these Terms, misuses communication tools, breaches platform rules, provides unlawful content, damages the reputation or operation of a service, or uses the services in a way that creates legal, technical, or compliance risk.

16. Acceptable Use

You may not use this website or any service provided by Joe Ramsay and Associates Inc. to transmit spam, malware, unlawful content, misleading claims, abusive messages, discriminatory content, defamatory material, infringing content, or communications that violate applicable laws or platform rules.

You may not attempt to interfere with the operation of this website, access systems without authorization, scrape content in a way that damages the website, reverse engineer systems, or misuse forms, booking tools, phone numbers, or communication channels.

17. Intellectual Property

The content on this website, including text, page structure, graphics, branding elements, service descriptions, layouts, and other materials, is owned by or licensed to Joe Ramsay and Associates Inc., unless otherwise stated.

You may view and print pages from this website for personal or internal business reference. You may not copy, republish, sell, reproduce, distribute, or create derivative works from this website’s content without written permission.

Client-provided materials remain the property of the client or their respective owners. Clients confirm that they have the right to provide any materials they submit for use in a website, campaign, automation, or communication system.

18. Privacy

Use of this website is also governed by our Privacy Policy. The Privacy Policy explains how personal information may be collected, used, stored, and shared when you use this website, submit a form, book a consultation, or communicate with Joe Ramsay and Associates Inc.

If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy will apply to the handling of personal information.

19. Links to Third-Party Websites

This website may contain links to third-party websites, platforms, software providers, booking tools, payment processors, communication systems, or other external resources.

These links are provided for convenience. Joe Ramsay and Associates Inc. does not control third-party websites and is not responsible for their content, availability, security, privacy practices, terms, pricing, or services.

20. No Guarantee of Business Results

Joe Ramsay and Associates Inc. provides practical tools, websites, systems, and consulting intended to help businesses improve their online presence, lead capture, customer communication, and workflow efficiency. However, business results are affected by many factors, including market demand, pricing, competition, service quality, response time, sales process, customer reviews, local reputation, staffing, and follow-through.

For that reason, Joe Ramsay and Associates Inc. does not guarantee revenue, profits, rankings, leads, booked jobs, closed sales, customer retention, or any specific business outcome unless expressly stated in a written agreement.

21. Limitation of Liability

To the fullest extent permitted by law, Joe Ramsay and Associates Inc. will not be liable for indirect, incidental, special, consequential, punitive, or economic damages, including lost profits, lost revenue, lost data, lost leads, lost business opportunities, business interruption, reputational harm, or third-party platform failures.

Where liability cannot be excluded, the liability of Joe Ramsay and Associates Inc. will be limited, to the extent permitted by law, to the amount paid by the client for the specific service giving rise to the claim during the three months immediately before the event giving rise to the claim.

Nothing in these Terms limits liability where it cannot legally be limited.

22. Indemnification

You agree to indemnify and hold harmless Joe Ramsay and Associates Inc., its directors, officers, contractors, suppliers, and representatives from any claims, losses, damages, liabilities, penalties, costs, or expenses arising from your use of the website or services, your breach of these Terms, your violation of law, your misuse of communication tools, your content, or your dealings with third parties.

23. Availability and Technical Issues

Joe Ramsay and Associates Inc. makes reasonable efforts to keep websites, systems, and services operating properly. However, no website, CRM, hosting platform, phone system, texting tool, email service, or third-party platform can be guaranteed to operate without interruption.

Service interruptions may occur due to maintenance, software updates, internet outages, provider outages, DNS issues, domain problems, payment issues, security events, configuration errors, or circumstances beyond reasonable control.

Joe Ramsay and Associates Inc. is not responsible for losses caused by temporary downtime, third-party outages, delayed messages, missed calls, failed deliveries, search engine changes, or technical issues outside its reasonable control.

24. Changes to Services

Joe Ramsay and Associates Inc. may update, revise, replace, suspend, or discontinue any website feature, service package, pricing structure, platform integration, workflow, or technical feature from time to time.

Where a material change affects an active client service, reasonable notice will be provided where practical.
